to their shareholders.
The Center has sponsored a qualitative study conducted by Professor Kevin Hallock
of Cornell University, regarding the perspective of the largest institutional investors
on executive compensation, including say on pay, disclosure, the role of proxy advisory
services and more.
This 2008 white paper compiles the Center’s rationale for its opposition to a mandatory
nonbinding shareholder vote on executive compensation (say on pay), which favors
a board-centric and shareholder engagement model over a mandatory vote whose meaning
is questionable.
